BRB Risk Jobs Board — Information Governance Manager (Seyfarth)

I’m always glad to see repeat participants in the risk jobs board. This week, I’m pleased to highlight a new open role at Seyfarth: “Information Governance Manager” —

  • As the Information Governance Manager, you will be responsible for the development and implementation of a broad range of strategic projects and initiatives relating to the adoption of effective data management practices.
  • This position is responsible for managing the Information Governance team who coordinate and manage data across internal Firm departments and external sources. This position works closely with the Firm’s Technical Service Group (TSG) to assist in the development of migration strategies to ensure the integrity of data during repository upgrades, changes and decommissioning.
  • The position requires a deep understanding of information management including the tactical management of both physical and electronic records, as well as information management technology and systems, information security, and the ethical, legal and regulatory requirements for lawyers and law firms related to information.

The Day-to-Day:

On any given day, you will be working with firm leadership, partners, and business colleagues on a variety of requests and projects. You will:

  • Serve as a subject matter expert on project teams, perform data analysis and research assignments, documents results, make recommendations regarding information governance, and make oral presentations and written recommendations relating to these topics.
  • Design procedures to support Firm policies, client expectations, legal requirements and regulatory guidelines related to the governance of information. Develop and maintain documentation describing related Standard Operating Procedures (SOPs).
  • Develop and implement the necessary processes for the organization of electronic data for the purpose of applying the Firm’s retention policy and other disposition activities. Performs in-depth analysis on paper files and data repositories across the firm to identify those records that are eligible for destruction.
  • Coordinate with attorneys, Technology Service Group (TSG) managers, IG analysts, and outside parties, to manage and coordinate large-scale data transfers for attorney mobility and client file transfers. Design and implement quality controls to ensure information is securely transferred to and from external sources in a timely manner.
  • Oversee the “wall” technology used to secure information contained in the document management system and other firm repositories. Monitor software vendor website and ensure that timely upgrades are performed on system. Perform periodic audits of user access rights, including ancillary systems not connected directly to the “walls” technology.
  • Oversee the management of the legal hold process and coordinate the identification, collection and production of potentially responsive information in compliance with established policies and procedures.

You Have:

  • A bachelor’s degree or equivalent experience
  • Five years of work experience in a law firm or professional services environment is preferred. Three years of hands-on data analysis experience is preferred.
  • Additional credentials such as Certified Information Governance Officer (CIGO), Information Governance Professional (IGP) or Certified Records Manager (CRM) a plus.
  • Experience with legal document management system, accounting system and archival software preferred. Expertise with M365, Purview, Visio, iManage cloud, iManage Records Management systems, and Intapp products a plus.
  • Advanced computer skills including Excel and an understanding of various data storage repositories and electronic document management software is required.
  • Working knowledge of general programming, software development concepts and issue tracking databases required.
  • Knowledge of SQL database and SQL Reporting Services (SRS), PowerShell scripting, basic CMD prompt commands, SharePoint, electronic imaging and archiving a plus.
  • Ability to learn and efficiently utilize specialized project management and records management software. Familiarity with Boolean searching techniques.
  • Proactive and able to provide information and training and maintain effective relationships with a diverse group of attorneys, clients, staff, and contacts outside the Firm, in person, by e-mail and telephone with courtesy and diplomacy.
  • Flexibility to adjust hours and travel as needed.
  • This is a hybrid position that requires two days in the office.

  • The Conflicts Analyst is accountable for accurate conflicts analyses, completed in a timely fashion with sufficient care to detail and thoroughness so as to minimize risk to the Firm.

This is a Hybrid position resident in Atlanta or the Kansas City area.

Responsibilities:

  • Ensures that parties are entered correctly into the conflicts database, including corporate family trees, for conflicts purposes.

Qualifications:

  • Demonstrated familiarity with InTapp-Open, Elite or other conflicts software. Familiarity with Dun & Bradstreet Family Tree Portal or other corporate-family or legal research tools. Demonstrated proficiency with Microsoft Outlook, Word, and Excel.
  • Demonstrated ability to:
    • communicate complicated and detailed conflicts analyses to attorneys or management in writing or orally. Demonstrated ability to communicate with and effectively follow the direction of a diverse group of attorneys and staff, and to provide good customer service to all levels of an organization.
    • Organize and prioritize numerous tasks
    • Address tasks in a logical sequence and
    • Minimize errors while maintaining quick turnaround times. Demonstrated ability to prioritize the work of others and appropriately balance responsiveness with accuracy and thoroughness
  • Demonstrated familiarity with law firm engagement letters, outside counsel guidelines, conflict waiver agreements, and basic elements of law firm structure and administration.
  • Demonstrated ability to run conflicts searches with Boolean logic and review conflicts reports for potential conflicts of interest, take steps to resolve potential conflicts, and appropriately escalate issues if needed Demonstrated ability to analyze accurately potential conflicts of interest, including investigating the facts of the situation by asking questions of attorneys and analyzing data housed in firm systems. Awareness of (a) cures for conflicts such as waivers and ethics screens and (b) conflicts that cannot be waived.

Education and Certifications::

  • Required: Associate’s degree or relevant education and experience
  • Preferred: Bachelor’s or Paralegal certificate.

Experience Required:

  • Minimum 2+ years relevant experience in a law firm.

  • Faegre Drinker has an opportunity for a Conflicts Attorney to work within our Office of the General Counsel in our Minneapolis, Philadelphia, Chicago, Denver, or downtown Indianapolis office. You will be part of a dynamic team dedicated to analyzing and resolving conflicts related to new clients, new matters, and lateral hires. This position will work with other talented individuals who share a passion for doing great work in the best interest of our clients. This role is classified as a professional staff role at the firm.

What you would do:

  • Analyzes and identifies potential conflicts of interest related to the firm’s new clients and matters, initiates communications with attorneys, recommends resolution and assists with drafting consents to ensure compliance
  • Assists attorneys and the Office of the General Counsel team overall with proposed engagement letter edits and the review of outside counsel guidelines to ensure that terms align with firm practices
  • Assists with maintaining a repository of operative outside counsel guidelines
  • Coordinates appropriate conflict searching in collaboration with the firm’s Client Intake Team and works with the Office of the General Counsel team to review and analyze conflict search results to ensure that any conflicts with laterals’ portable or non-portable matters or prior work are clear of conflicts or necessary consents or notices required under the applicable rules of professional conduct are documented

What is expected:

  • Ability to problem-solve
  • Excellent interpersonal, verbal and written communication skills, including the ability to communicate effectively in a virtual environment (e.g., via phone, web/videoconference)
  • Ability to concentrate on tasks, make decisions and work calmly and effectively in a high-pressure, deadline-orientated environment
  • Demonstrated ability to use good judgment in taking initiative while asking for direction or clarification and consulting others, as appropriate

What is required:

  • Law Degree plus an active bar membership in one or more states (where the firm has an office)
  • At least five (5) years of relevant experience practicing law and/or working in a conflicts’ capacity
  • Experience working within a law firm or in a risk management role or corporate compliance role that has a broad scope of practice areas and offices in multiple jurisdictions.
  • Strong working knowledge of at least one state’s rules of professional conduct.
  • Understanding of conflicts search strategy and experience with analyzing conflict search results.
  • Technology proficiency and ability/openness to learn new programs and technology.
  • Experience working with Intapp Open, Intapp Walls and Intapp Terms programs.
  • Familiarity of legal research tools and databases

  • Under the general direction of an Associate General Counsel, and according to established firm policies and procedures, you will exercise discretion and independent judgment to review, negotiate, document and store non-standard client engagement terms, RFPs, and assist with client IT security assessments and reviews.
  • You will work with a Compliance Paralegal and will manage workflow and assist with reporting statistics and trends related to client engagement documents. You will manage and maintain a comprehensive client engagement document database (Intapp Terms) to help mitigate the firm’s exposure to risk.
  • You will act as a liaison between all firm departments involved in client acquisition and intake, firm management, relationship partners, and other professional staff, while maintaining professionalism and strict confidentiality in all client and firm matters.

The Day-to-Day:

  • Review, negotiate, track, document, and store Outside Counsel Guidelines (OCGs), non-standard engagement letters, GDPR documentation, RFPs, and other client contracts to ensure compliance with the firm’s ethical and business obligations.
  • Draft correspondence to address terms of engagement that do not align with Seyfarth’s policies, procedures, ethics, loss prevention, and risk tolerance. Negotiate directly with clients at direction of relationship partner.
  • Maintain an efficient and transparent depository and quick-reference resource(s) regarding client engagement terms.
  • Solicit and coordinate feedback and approval on non-standard client contracts from Seyfarth subject matter experts.
  • Implement client requirements such as obtaining conflicts searches on clients’ corporate affiliates, requesting ethical or confidentiality walls, providing client notices, updating and maintaining the firm’s various databases and document management systems.
  • Assist in follow-up to ensure that executed engagement documents are obtained.

You Have:

  •  A Juris Doctor Degree
  • Bar admission in good standing in any US state or the District of Columbia required.
  • 5+ years of legal experience, including experience either as a conflicts attorney or as a commercial attorney engaged in contract review and negotiation, preferably with a large law firm.
  • Ability to analyze complex documents and communicate results of analysis concisely and professionally
  • Ability to maintain effective relationships with a diverse group of attorneys, clients, and professional staff
  • Close attention to detail, the ability to follow instructions, and excellent troubleshooting, proactive problem resolution, and follow-through skills
  • A high degree of initiative and critical-thinking skills along with the ability to exercise independent judgment and manage multiple priorities in a fast-paced work environment.
  • Ability to learn and utilize specific internal or third-party Conflicts Department software as well as relevant firm computer software programs
    Excellent organizational skills, including record keeping and data collection

  • We are seeking a Conflicts Analyst to support our Chicago, Indianapolis, Milwaukee, Naples, Tucson, Madison, Minneapolis, Phoenix, St. Louis, Tampa, or Washington D.C. office.
  • This position is also open to remote or hybrid schedules.

Responsibilities:

  • Perform corporate research to identify corporate affiliates, principals and nature of business in order to search and identify ethical and business issues in the firm’s conflicts database.
  • Create conflict reports that identify and summarize issues relating to new clients, new matters, lateral attorneys, marketing requests and special projects.
  • Work closely with Conflicts Counsel and take necessary steps to confirm conflicts of interest are resolved including closing dormant matters and working with relationship lawyers to confirm cures are in place.
  • Evaluate and escalate difficult or highly sensitive conflicts and matter opening issues to General Counsel’s Office, senior conflicts personnel and/or Loss Prevention Partners and work with them to address the issues.
  • Review and resolve various issues related to opening legal matters, including business conflicts, area of practice issues, billing and client credit issues, pro-bono related questions and internal Firm policies.
  • Assist Legal Recruiting by summarizing conflicts and business issues, providing clearance assistance and requesting screens related to the onboarding of lateral attorney hires.
  • Maintain current knowledge of trends and developments impacting the conflicts function.
  • Possess knowledge of the Model Rules of Professional Responsibility that apply to conflicts of interest.
  • Recommend new policies and procedures related to conflicts analysis and clearance, business intake and risk compliance.

Qualifications/Experience:

  • Bachelor’s degree or equivalent experience
  • Two years prior conflicts of interest experience in a law firm
  • Experience with a conflicts database preferred, especially Intapp
  • Basic Excel skills
  • Ability to work with diverse populations and resolve issues
  • Excellent sensitivity, confidentiality and judgment when it comes to difficult issues
  • Excellent organizational, interpersonal relations, written and oral communication skills
  • Strong customer service attitude
  • Work well under pressure, good problem solver
  • Ability to work independently required
  • Ability to coordinate many issues/projects at once
  • Accuracy and strong attention to detail required

  • Position requires a working understanding of large law firm processes and procedures as well as a general familiarity with various practice areas handled by the firm.
  • A working understanding of the Rules of Professional Conduct and ethics law and opinions relating to conflicts of interest is critical.

  • Is a key member of the Ethics & Conflict Committee, track issues, manage meetings, action items and circulate meeting minutes.
  • Respond to queries relating to risk management at the Firm
  • Participate in risk presentations to lawyers and assistants on aspects of risk related policy and regulation including providing guidance on ethical walls
  • Manage and administer the Firm’s Ethical Wall process to comply with the Firm’s ethical responsibilities to maintain clients’ information in confidence
  • Evaluate, develop and implement technology solutions
  • Act as project lead and subject matter expert for risk related projects
  • Conduct routine compliance checks on compliance with various elements of the Firm’s risk management policies
  • Monitor industry trends and standards
  • Follow procedures and policies governing the Firm’s risk management activities and responsibilities
  • Perform other duties as assigned

Position Requirements (Education and Experience)

This position requires a law degree or a minimum of 5 years of legal experience with an emphasis on risk, compliance and regulatory knowledge. An equivalent combination of risk related education, training and experience in other regulatory environments may be considered. Bilingualism will be considered an asset

  • Understanding of risk management and regulatory compliance within an organization
  • Excellent analytical and problem-solving skills. Able to quickly identify and analyze complex issues to provide practical solutions.
  • Strong research skills. Able to consider and analyze divergent legal positions often under time pressure
  • Excellent verbal and written communication skills. Able to provide clear instructions or advice; persuasively communicating risk processes and policies
  • Excellent multi-tasking skills. Able to effectively manage a range of duties and responsibilities, organizing and prioritizing multiple tasks simultaneously and completing them to a high standard
  • Self-motivated, highly organized with excellent time management skills
  • Strong IT skills. Have exceptional computer skills and proven ability to learn new software and programs and keep up to date with developments (including enhancements to the Firm’s systems)
  • Experience in the area of risk, ethical and regulatory environment in which law firms operate and a solid understanding of the various professional regulatory bodies relevant to legal practice
  • Proven ability to work as part of a team. Capable of building and maintaining effective working relationships to become a trusted advisor to lawyers, assistants, other firm admin departments and the Ethics & Conflicts Committee with a willingness to cooperate and share knowledge
  • Proactive in taking ownership for the resolution of issues and able to work with minimal supervision, ability to exercise judgment, ability to work with limited direction

The firm is seeking a: “Conflicts Attorney – Remote” —

  • This position is responsible for identifying and assisting in the resolution of potential ethical and business conflicts arising out of the submission of conflict search requests, the intake of new clients and matters, requests relating to client/matter maintenance, and the hiring of lateral attorneys, contract attorneys, and non-lawyer staff. This position will report to the Business Intake Manager, Director of Business Intake, and General Counsel to ensure overall risk related to lateral hire conflicts and client/matter intake is minimized.
  • Under limited supervision, this position is responsible for creating, reviewing, analyzing, and clearing conflict of interest reports for clients, matters and potential lawyers joining the firm. Facilitates resolution of potential conflicts for requesting lawyers and legal recruiting team firm wide. Provides input and guidance into review process of other team members.

Duties/Responsibilities:

  • Conduct conflicts of interest searches on all parties and clients for incoming new business for all offices.
  • Use internal and external databases to conduct factual research; identify potential conflicts, including determining the status of relevant matters, ascertaining the nature of an entity’s role in a particular matter, analyzing existing waivers, and researching corporate relationships of affiliated companies; engages in discussions with lawyers to gather information and/or clarification as needed.
  • Review and clear conflicts related to all client/matter intake requests as well as day-to-day conflict search requests, which requires in-depth understanding of the firm’s new business intake process, conflicts database, and client/matter data.
  • Conduct searches for lateral and contract attorney and non-lawyer staff prior work history conflicts as well as lateral business intake conflicts. Prepare a summary of potential conflicts identified for the recruiting attorney and administrative directors/managers involved in the hiring and/or lateral intake process.
  • Work with responsible attorneys and relevant administrative departments to implement ethical walls for new clients/matters where necessary as well as incoming candidates when deemed appropriate.
  • Draft conflict waiver language on behalf of responsible attorneys and communicate waiver requests to clients, where appropriate.
  • Consult with the Business Intake Manager, the Loss Prevention Partner and/or responsible partners regarding conflicts or new business issues that cannot be immediately resolved, such as complex conflicts questions, or issues requiring research or the application of conflicts or new business subject matter expertise.
  • Review new business intake forms in the automated workflow system for accuracy and consistency.
  • Ensure compliance with all firm rules for lateral hires and business intake; review engagement letters, billing information, exception rates, waiver letters, Outside Counsel Guidelines.
  • Provide assistance to lawyers on how to read and interpret conflicts of interest reports; how to use the business intake systems and provide assistance to firm members on how to utilize conflicts/new business intake automated workflow system.
  • Work closely with the Business Intake Manager, and the Business Intake team to ensure coordination of systems, workflow and outcomes.
  • Document workflow process and procedures and update as needed.
  • Review and maintain the accuracy of the firm wide New Business Report.
  • Keep current on trends in conflicts of interest management by participating in professional activities and by reading and contribution to the literature of legal records and risk management organizations.
  • Attend legal software (i.e. Intapp, Aderant, iManage, etc.) training sessions, conferences, presentations, and conventions as necessary.
  • Field incoming emails and phone calls to the conflict’s inquiry distribution list and phone line.
  • Assist in developing and maintaining a library of forms, templates, exemplar language and other resources.
  • Attend on-site in person team meetings and/or training sessions as location permits.
  • Assist in special projects and other duties as assigned.
